Article 1 – Preamble

It is specified that the conditions presented govern exclusively the contractual relationship between the User (hereafter referred to as You) and the trader Restopolitan. The web site is published under the supervision of Ms. Stéphanie Pelaprat: Restopolitan's CEO.

The web site www.restopolitan.com sales Restopolitan Card which use in selected restaurant partners. Restopolitan is currently available on its web site see article 3 – Use of the online service www.restopolitan.com).

Restopolitan Card and Restopolitan.com are services belonging to the Restopolitan business with an equity capital of 90 240 € - RCS Paris B 493 271 464 - Head Office : 146, rue Montmartre 75002 Paris France – Phone +33 1 46 34 87 28.

Article 2 – Definition

The terms defined below have the following meanings in these Terms of Use:

The Restopolitan Card: all products sold on the web site www.restopolitan.com.

- The Member: means internet user which signs in www.restopolitan.com and creates a member account and have accepted the presented General Sales Conditions.

- The Customer: means the member that has ordered a Restopolitan Card.

- The Card holder: means all the people who own a Restopolitan Card, customer or not.

- The restaurant partners: means restaurants which have signed a partnership contract with Restopolitan business.

- The web site/Restopolitan.com: means the web site http://www.restopolitan.com/

- The package Restopolitan Card: means the validity of the Restopolitan Card.

Article 3 – Use of the online service www.restopolitan.com

In order to buy a Restopolitan Card, the internet user has to create an account on the web site Restopolitan.com.

To sign up, the internet user has to fill in the following information: last name, first name, email address, zip code, phone number; and creates a password that will allow him to have entire access to his account. He can also modify his personal information during a future purchase or accessing directly his own profile on the link « My account » on the web site.

To create an account on the web site, it is obligatory to accept the present general sales conditions. To do that, the internet user will have to click on « I accept the general sales conditions » in order to create his account.

Once the subscription has been validated on the web site, Restopolitan through the web site www.restopolitan.com sends an email to its internet user who has become a member reminding him to confirm his subscription on the web site with a summary of his information, such as his login and password which will allow him to make an order.

Assuming that the Restopolitan business finds serious irregularities in the use of a member on its purchase card system, Restopolitan could take appropriate steps to solve these irregularities, namely the suspension of access to exclusive memberships on the website Restopolitan.com.

If the member does not respect the obligations presented in the general conditions of sales his membership may be cancelled, without making any damage that could concern the Restopolitan business.

Article 4 – Products

The products offered are in keeping with Luxembourg legislation and standards applicable in France. Restopolitan will make every effort for the photographic products represent as closely as possible the products offered on sale. Each product comes with a precise descriptive providing its main specifications.

4.1 The Restopolitan Card

The Restopolitan company sales the following offers through its web site www.restopolitan.com: 1 Meal, 1 week, 1 Month, 3 Months, 6 Months, 1 Year, Unlimited Restopolitan Card and the Restopolitan e-Card.

Restopolitan Cards give the right to its holder the following benefit in one of its restaurant partners : Enjoy one free meal, except beverages, for a reservation of 2 meals minimum (two).

The meal offered is determined according to the restaurant general sales conditions and will be deducted on your final bill. The restaurant sales conditions are available on the restaurant's page on the web site Restopolitan.com.

A single Restopolitan Card is accepted per reservation (either per bill or per table). In other terms, a single meal will be offered per bill and/or per table.

At least one of the guests will have to order the same amount in euros as the free meal.

The list of restaurants which accept the Restopolitan Card is available on http://www.restopolitan.com.This list changes each day.

The 1 week, 1 Month, 3 Months, 6 Months, 1 Year and Unlimited Restopolitan Card can be used without limit during their validity.

The 1 Meal Restopolitan Card and the Restopolitan e-Card can be used only one time.

The 1 Meal, 1 week, 1 Month, 3 Months, 6 Months, 1 Year, Unlimited Restopolitan Card and the Restopolitan e-Card are specific terms of use, explained below (articles 4.2, 4.3, 4.4, 4.5, 4.6, 4.7, 4.8, 4.9)

4.2 One meal Restopolitan Card

The One Meal Restopolitan Card can be used only one time in a partner restaurant.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.3 One week Restopolitan Card

The One week Restopolitan Card has an unlimited use during 7 days in the restaurant partners. The Card can be used only one time per restaurant.

The first use of the card, that means the first reservation, the card will be activated for 7 days.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.4 One Month Restopolitan Card

The 1 Month Restopolitan Card has an unlimited use during 30 days in the restaurant partners. The Card can be used only one time per restaurant.

The first use of the card, that means the first reservation, the card will be activated for 30 days.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.5 Three Month Restopolitan Card

The Three Months Restopolitan Card has an unlimited use during 90 days in the restaurant partners. The Card can be used only one time per restaurant per month.

The first use of the card, that means the first reservation, the card will be activated for 30 days.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.6 Six Months Restopolitan Card

The Six Months Restopolitan Card has an unlimited use during 180 days in the restaurant partners. The Card can be used only one time per restaurant per month.

The first use of the card, that means the first reservation, the card will be activated for 180 days.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.7 One Year Restopolitan Card

The One Year Restopolitan Card has an unlimited use during 360 days in the restaurant partners. The Card can be used only one time per restaurant per month.

The first use of the card, that means the first reservation, the card will be activated for 360 days.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

4.8 Unlimited Restopolitan Card

The Unlimited Restopolitan Card has an unlimited use in the restaurant partners. The Card can be used only one time per restaurant per month.

The Unlimited Restopolitan Card is activated the purchase date.

The subscription for the Unlimited Restopolitan Card is automatically renewed at the end of each subscription term unless you terminate your subscription prior to the end of such subscription term in accordance with article 7.2. Such renewal will always be for a monthly subscription term.

4.9 Restopolitan e-Card

The Restopolitan e-Card can be used only one time in a partner restaurant.

If you haven't made any reservation during 36 months since you bought it, the Card will be unusable.

Article 5 – Pricing conditions

The price of our products includes all taxes but do not include delivery.

We reserve the right to modify our prices at any moment. They will therefore be invoiced on your bill depending on the moment the order had been registered.

As a guide, Restopolitan Card prices are following (all taxes included):
- One Meal Restopolitan Card : 5.00 €
- One Week Restopolitan Card : 9.90 €
- One Month Restopolitan Card : 19.00 €
- Three Months Restopolitan Card : 39.00 €
- Six Months Restopolitan Card : 69.00 €
- One Year Restopolitan Card : 120.00 €
- e-Card Restopolitan : 4.60 €

Article 6 – Ordering

Through the web site Restopolitan.com, the order process is composed by five steps successively:

(1) The internet user creates an account to become a member (see article 3 - Use of the online service www.restopolitan.com) or make your login if you are already a member using your login and password;

(2) The member selects the offer that he wishes to order ;

(3) The member informs his/her address to send the order and verifies the ordering details and accepts the GSC ;

(4) The member selects his/her way of payment of his/her preference offered by Restopolitan.com (see article 3 - Terms of payment) ;

(5) The member makes the payment.

The order is validated by the Restopolitan Company at the moment of receiving the payment confirmation specifying the contract of sales linking the member to Restopolitan www.restopolitan.com.

A confirmation of order will be sent to you email address indicated during the creation of your account. witholding:

(1) his card number ;

(2) his order number ;

(3) the summary of his purchased products ;

(4) the purchaser name as well as his delivery address.

The email sent is a summary of the order but cannot be used in no case as a « Restopolitan Card ».

Restopolitan with the web site Restopolitan.com engages itself to accept the ordering terms of its members visible on the general sales conditions. In attachment, the customer could find a Restopolitan temporary Card. It could be used as a Restopolitan Card between the purchase date and the delivery date. In order to use the temporary Card, the customer will have to print it.

The data registered by Restopolitan SAS constitutes a proof of all transactions made by Restopolitan and its customers.

Article 7 – Terms of Payment

The member can buy a Card by Internet on the web site Restopolitan.com.

An email will be sent to the member in maximum 48h after the confirmation of payment to make sure that the right payment was made, and certifying the purchase of the product.

The Restopolitan Card has no cash value and cannot be resold.

7.1 One Week, One Month, Three Months, Six Months, One Year Restopolitan Card Payment

The payment for One Week, One Month, Three Months, Six Months, One Year Restopolitan Card makes once.

7.2 Unlimited Restopolitan Card Payment

The subscription to the Unlimited Restopolitan Card Payment is automatically renew at the end of each subscription term unless you terminate your subscription prior to the end of such subscription term. Such renewal will always be for a monthly subscription term.

The member can suspend or cancel her subscription whenever he wants. The Card will be suspend or cancel at the end of the current period.

Article 8 – Delivery

Restopolitan engages to send the order in maximum 72h only after receiving the confirmation of payment

The delivery fees are invoiced on the purchaser as specified on the article 8.3 - Delivery Fees and are included in the total amount that the client will pay on the web site www.restopolitan.com.

8.1 Place of delivery

The Restopolitan Cards are delivered to the address indicated on your order. The responsibility of Restopolitan is not engaged in any case if you are absent for the delivery or the case that you made a mistake on the order address.

8.2 Time of delivery

The Restopolitan Cards are sent within a maximum of 7 days.

8.3 Delivery fees

The price of the Restopolitan Card is added to the delivery fees. It is charged when making the order.

Delivery fees are indicated before the purchase, on the ordering summary.

They are not refunded in any case.

The shipping fees are 1,90€ TTC per card.

Article 9 – Terms of use

9.1 Registering the Restopolitan Card

For the first use of the Restopolitan Card, the cardholder has to register the Card on the web site Restopolitan.com. To do this, the member must:

(1) Create an account on Restopolitan.com or login if he is already registered as a member;

(2) Go to My Account (available on the address url http://www.restopolitan.com/myaccount)

(3) Enter the Card's number on the space « My Card's number ».

The Card's number is available on the back of the Restopolitan Card or on the order summary email (see article 6 - Ordering).

9.2 Use of the Restopolitan Card

To use the Restopolitan Card, the client must book with the restaurant where he wishes to go: (1) Accepting the product at the chosen date with the restaurant, (2) Respecting the conditions of the use of the Restopolitan Card (type of the card, validity date…).

The reservation is obligatory through Restopolitan. Two options can be offered to the cardholder: reservation by phone or reservation online (see article 10 - Terms of Booking ).

On the day of the reservation, the cardholder will have to come with the Restopolitan Card upon his arrival at the restaurant. If the cardholder does not respect the general sales conditions, the restaurant can feel free to refuse the use of the card.

Article 10 – Terms of Booking

To benefit from the Restopolitan offer, the cardholder must book, with Restopolitan, the restaurant he wishes to go to with the Restopolitan Card.

Restopolitan will make your reservation and will also verify the validity of your Restopolitan Card.

If the cardholder books directly with the restaurant or if he goes to the restaurant without booking, the restaurant owner has the right to refuse the Restopolitan Card.

Restopolitan offers two ways of booking: booking by phone on +33 1 84 240 240 or booking online on the web site Restopolitan.com.

For all reservation requests, Restopolitan will send the customer an email confirming the request. This email does not put in relation in any case the reservation with the restaurant partner.

After verifying and accepting the reservation by the restaurant. Restopolitan will send a second confirmation email or will send a text message to the number indicated. This last email or text message validates the reservation between the restaurant partner and the Restopolitan cardholder.

Article 11 – Payment online

11.1 Payment by credit card

The credit cards accepted are: Visa®, Carte Bleue®, Eurocard® and Mastercard®. The member's account will be debited in the agreed timeframe according to the operating conditions of the customer's credit card (debited immediately or not). The date of the order will be considered effective upon confirmation of payment centers.

All our purchasing transactions will be placed within a strict process of privacy using the SSL encription protocol.

Whenever the member clicks on "Validate it" while the validation of his order on the web site www.restopolitan.com, the online payment service OGONE® verifies the validity number of the credit card and makes sure it is the correct one.

Restopolitan on the web site www.restopolitan.com has no access to these details and does not keep them on its servers. However, they will be asked at each new transaction on the web site.

11.2 Payment by Paypal®

The member has the possibility to pay the Restopolitan order via Paypal®. To do this, the member must have a Paypal® account. He will also receive its Paypal® ID to pay the total order amount.

All your purchase transactions are followed in a strict, confidential and secure process made by the Paypal® company.

Article 12 – Payment by check

Restopolitan also offers to its members to pay the order by check (only with French Check).

In order for the payment to be accepted by Restopolitan, the check must specify the name of Restopolitan and the amount must be identified in the order summary.

In the case that the check is not accepted, the member will be informed of the rejection of the payment. Therefore, Restopolitan will not proceed to the order.

In case of proven fraud, Restopolitan has the right to contact authorities and take legal actions against the fraud.

Article 13 – Availability

The Restopolitan cards are accessable for purchase as noticed on the web site, within available stock, and can be used within the limits of conditions specific to each of them (i.e. validity period, days of use…).

The menus are likely to be modified by the restaurant based on a seasonal change and the availability of the products presented.

This information comes directly from the restaurant partners, mistakes or modifications can exceptionally exist. Restopolitan will not be responsible if the menu offered by the restaurant does not match the information mentioned on the web site Restopolitan.com.

In case of unavailability of the product after being ordered, the customer will be informed by email or by phone in a maximum of 7 days.

Restopolitan engages to offer a deal on the same financial basis to the customer.

The customer must verify the conditions of validity of the product before ordering it on Restopolitan.com and cannot in any case complain to Restopolitan about anything which is already mentioned on the conditions of validity such as on the product order page.

Article 14 – Refund Conditions

14.1 Canceling a reservation

If the customer isn't able to go to the restaurant, he must inform the restaurant and Restopolitan at least 3 hours before the reservation.

If for any reason or in an emergency case the restaurant booked may not honor its part of the contract, Restopolitan will be in charge of finding another restaurant of the same quality, same price and in the same city.

14.2 Refund, Changing the order

The one week Restopolitan cards, one month and three months are neither exchangeable nor refundable, even partially. A refund can sometimes be returned depending on the conditions specify in the article 13 – Availability

Article 15 – Loss / Steal

In case of loss or steal of the Restopolitan Card, the cardholder must inform the customer service, the contacts are mentioned in the article 1 - Preamblein more details. In order to obtain a new card, the customer must send a 5€ check to the Subscription Service - written to Restopolitan, corresponding to the fees to make a new card. The new card will be sent to the address mentioned on your account, once the check is deposited.

In any case, Restopolitan cannot refund the meals purchased by the client in our restaurant partners between the date of the loss, or the steal and the order of a new card and the date the customer receives his new card.

The refund of the Restopolitan Card cannot be made in the case of a loss or steal.

Article 16 – Right of Withdrawal

According to terms in the article L.121-20Code of consumption, after a purchase of the Restopolitan Card, the purchaser has 7 (seven) days to carry out his right of consumption without any additional fees.

The due date of (seven) days mentioned above is counted from when you receive the Restopolitan Card(s).

Only the unused cards will be refunded as it is clarified in article 9 - Terms of use of the product.

However, the Restopolitan cards must be returned in perfect condition to the following address:
Restopolitan, Subscription Service, 146 Rue Montmartre 75002 Paris France.

Any right of withdrawal according to the terms of this section will result in a refund of all money paid within at most thirty days since the arrival of the Restopolitan Card.

Article 17 – Properties and Rights

It is highlight that design and content of the web site are protected by the intellectual property rights. Restopolitan has all rights on them and their publication is lead by its CEO Mrs Stéphanie Pelaprat.

Furthermore, according to the intellectual properties rights, only private use of the card is authorized.

However, the internet user cannot represent, reproduce, modify any of the content of the card without the authorization of Restopolitan.

All non-authorized use of the contents of the card or the web site conclude to actions of infringement of copyright and / or trademark law and commits the criminal and civil liability of the user on the basis of infringement of copyright and / or trademark law. On both sides, the internet user is committed not to copy it, re sell it, re edit it. In any case, all other kinds of information related to Restopolitan are available on the web site www.restopolitan.com, except talking about partnership agreement signed between the two sides.

Restopolitan SAS exploiting the web site www.restopolitan.com is in right to claim from the internet user damage and interest to compensate harm inflicted.

Article 18 – Extended Warranty

Restopolitan is committed to carry out with the necessary ways to assure its permanence, its continuity and its quality of service 7 days a week, regardless scheduled maintenance operations, subject to the provisions of the article. The access to the web site and its service are provided on a service base « as is ».

Restopolitan does not give any guarantee, including that it must limit the guarantees pertaining to the compability of services to a specific use, and the non-violation of the use rules of the services by its members.

Restopolitan is committed to assure the best conditions of its web site.

In any case, Restopolitan won't be responsible in case of the use of its web site by a wrong internet user moreover, in case of violation by the internet user in the provisions of the article.

The internet user is committed to compensate the RESTOPOLITAN Company the amount of costs it would insure as a result of any claim or protest, judiciary or extra judiciary, linked to the use of services defined by the members presented and guarantee Restopolitan of all conviction in case of court.

Restopolitan has all the rights to modify the General Sales Conditions of the web site www.restopolitan.com. All new versions will be reported on the first page of the web site.

The members who do not wish for the contractual relations to be governed by the new version should notify them and, counting from the date since the new version will be online, they should stop using the Web site services.

Any modification will take place immediately and is applicable only to the members using the services.

Article 19 – Applicable law and jurisdiction

The General Sales Conditions are presented in the French Law. In case of misunderstanding, performance or validity of these Terms of Use, should be addressed in attention to the French Court.
